A fairness opinion is essential when there is a potential conflict of interest between a company’s directors and its shareholders, or between a private equity fund’s general partner and its limited partners or other investors. The opinion will confirm that the transaction is fair (from a financial perspective) for both the company and its shareholders or other investors.
While every company and transaction is unique, our process is generally consistent and typically includes the following elements:
- Performing extensive due diligence to assess the company, transaction terms and conditions, and relevant industry trends and issues;
- Employing proven and applicable valuation methodologies;
- Conducting further analysis to identify and evaluate potential alternatives to the proposed transaction (optional; performed on request);
- Determining whether the consideration paid, received, or issued in the transaction is within the “range of fairness” (from a financial perspective) to the shareholders or other stakeholders; and
- Delivering the fairness opinion letter and supporting analysis.
